  • Jones Day's India practice was set up 1995 by Jai Pathak who left the firm in 2008 to open Gibson Dunn's Singapore office. Jones Day's associate firm in India is P&A Law offices, managed by Jai's brother Anand Pathak. One of the most prominent foreign firms in India since its establishment, it has picked up relatively few high value deals over the past 3 years.

Shapoorji Pallonji & Co. Ltd US$350 million India Project Financing

Jones Day is advising in the US$350 million project financing for a toll road in India, Standard Chartered Bank acting as lender.  Shapoorji Pallonji & Co. Ltd specialises in construction and is the flagship company of the Shapoorji Pallonji Group, which is owned by Pallonji Mistry (the biggest shareholder in the Tata Group, India’s largest company).

Adani Enterprises Limited US$850million QIP

Jones Day advised the underwriters in the US$850 million of equity shares in a qualified institutions placement by Adani Enterprises Limited pursuant to Rule 144A and Regulation S, underwritten by DSP Merrill Lynch, Morgan Stanley, IDFC, Citi, UBS, Kotak Mahindra, ICICI Securities and Enam Securities.

 

This was the largest QIP to be undertaken in India for 2010 and was was made challenging by the concurrent merger which was taking place with the Mundra Port entity, which led to complex disclosure and pro forma issues, as well dealing with eight domestic and international investment banks (who were the clients).  Adani Enterprises Limited is the flagship company of The Adani Group, one of India’s largest conglomerates.
